Talkindeed Terms of Service

  1. Welcome to Talkindeed

Thank you for using the Talkindeed websites and apps (hereinafter collectively: “Service”). By accessing or using our Service, you agree to these Terms of Service (“Terms”). Please read them carefully. The Service is provided by Talkindeed Ltd.

  1. Your Use of the Service

 

  • Eligibility: You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with the involvement of a parent or guardian. Please have them read the Terms and agree to them.
  • Your Account: To use the Service or most functions you will need to create an account. You are responsible for the activity that happens on or through your account. Keep your password confidential and do not share it with others.
  • Content on the Service: The content available on the Service includes short videos, voice adaptations of videos, and user-uploaded videos. This content is provided “as is” and may not always be accurate or appropriate. Additional types of content may be added to the Service and in such a case, the Terms shall be read to include such content and apply to such content equally. 
  • Uploading Content: When you upload content, you grant Talkindeed a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and distribute your content. This license continues even if you stop using our Service.
  • Prohibited Conduct: You agree not to use the Service to distribute content that is illegal, offensive, misleading, or violates the rights of others. This includes, but is not limited to, content that infringes copyright, promotes hate speech, or contains harmful misinformation.
  1. Your Content and Conduct
  • Responsibility: You are solely responsible for the content you create, upload, and share. Ensure your content complies with all applicable laws and does not infringe on the rights of others.
  • Community Guidelines: You must adhere to our community guidelines, which prohibit harmful or abusive behavior, including but not limited to harassment, bullying, and threats.
  1. Intellectual Property Rights
  • Ownership: The rights to the content on the Service remain with the original creators. However, by using the Service, you grant Talkindeed certain rights to use and distribute your content.
  • Infringement Claims: If you believe your copyright has been infringed, please contact us with the relevant information to resolve the issue.
  1. Termination of Use
  • Account Suspension/Termination: Talkindeed reserves the right to suspend or terminate your account if you violate these Terms or engage in behavior that could harm the Service or its users.
  • Effect of Termination: Upon termination, your right to use the Service will cease, but the licenses granted by you will continue.
  1. Liability and Disclaimers
  • No Warranty: The Service is provided “as is” without warranties of any kind. Talkindeed makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, reliability, suitability, or non-infringement of intellectual property or other violation of rights.
  • Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL COMPANY (OR ITS LICENSORS OR SUPPLIERS) BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING IF ARISING FROM INJURY OR ANY OTHER HEALTH SITUATION, DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, OR FOR ANY LOSS OF DATA, REVENUE, PROFITS OR REPUTATION, ARISING UNDER THESE TERMS OR OUT OF YOUR USE OF, OR INABILITY TO USE, THE APPLICATION, OR (B) IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE COMPANY FOR ANY DAMAGES ARISING UNDER THESE TERMS OR OUT OF YOUR USE OF, OR INABILITY TO USE, THE APPLICATION EXCEED THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO COMPANY FOR USING THE APPLICATION DURING THE THREE (3) MONTHS PRIOR TO BRINGING THE CLAIM. SOME STATES AND COUNTRIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.
  1. Governing Law and Disputes
  • Governing Law: Any claim relating to the Application or these Terms shall be governed exclusively by the laws of the State of Israel, without regard to its conflict of law provisions. 
  • Disputes: If any disputes arise between you and Talkindeed, both Parties hereby submit to the exclusive jurisdiction of the competent courts of Tel-Aviv Jaffa, Israel
  1. Changes to the Terms

We may modify these Terms at any time. Any changes will be effective immediately upon posting. Your continued use of the Service after changes have been made will constitute your acceptance of the new Terms.
